Our Energy practice provides representation to companies involved in oil, gas and
petrochemicals development, production and marketing as well as companies involved
in solid minerals mining activities, including coal production and distribution. We
undertake a wide variety of corporate work for these clients, primarily, transactional
in nature, involving preparation of specialized contracts and agreements, or with
regard to obtaining various governmental consents, clearances and licenses.
Our lawyers are skilled in drafting and negotiating project contracts, including power
purchase agreements and other facility offtake agreements; fuel and raw material supply
and transportation contracts; IPP agreements, engineering, procurement, and construction
contracts; process design and license agreements; and operation and maintenance agreements,
OPL and OML approvals.
Our services also include structuring the financing for utility or energy projects,
including multi-lender transactions involving the capital markets, commercial lenders,
tax-exempt or other public financing sources; drafting and negotiating documentation for
a variety of financing types, together with applicable security documents, inter-creditor
documents, and cross-collateralization arrangements.
